Terms and Conditions of Sale

These Terms and Conditions (“Terms”) govern your access to and use of the AEVUM Research website (the “Site”) and the purchase of any products supplied by AEVUM Research, LLC, a Wyoming limited liability company (“AEVUM,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you (“Customer” or “you”) agree to be legally bound by these Terms. If you do not agree to these Terms, you may not access the Site or purchase our products.
1. Research Use Only
All products sold by AEVUM are supplied exclusively for laboratory and in vitro research use. AEVUM products are not drugs, dietary supplements, cosmetics, food, or medical devices, and have not been evaluated or approved by the United States Food and Drug Administration (FDA) or any other regulatory authority for use in humans or animals.
AEVUM products are not intended for, and shall not be used for:
- Human consumption, ingestion, injection, inhalation, topical application, or any other form of administration to a human being;
- Veterinary or any other administration to an animal;
- The diagnosis, cure, mitigation, treatment, or prevention of any disease or condition;
- Compounding, manufacturing, formulating, or preparing any product intended for administration to humans or animals;
- Resale, transfer, or distribution to any party who intends to use the product for any of the foregoing purposes.
Nothing on the Site, including product descriptions, scientific references, or educational content, constitutes medical advice, a recommendation for use in humans or animals, or an endorsement of any therapeutic application. References to peer-reviewed scientific literature are provided solely for the research and educational benefit of qualified professionals.
2. Eligibility and Customer Representations
By placing an order with AEVUM, you represent and warrant that:
- You are at least 21 years of age;
- You are a qualified research professional, employed by or affiliated with a research institution, or are purchasing on behalf of such a professional or institution;
- You have the training, expertise, and facilities necessary to handle, store, use, and dispose of laboratory chemicals safely and in accordance with applicable laws and regulations;
- You will use AEVUM products only for lawful research purposes and only in accordance with these Terms;
- You are not a competitor of AEVUM purchasing products for the purpose of reverse-engineering, benchmarking, or any commercial purpose adverse to AEVUM;
- You are not located in, and are not purchasing on behalf of any person located in, any jurisdiction where the sale or possession of AEVUM products is restricted or prohibited;
- All information you provide to AEVUM, including identity, shipping address, and payment information, is true and accurate.
AEVUM reserves the right to verify any representation made by you and to decline or cancel any order in its sole discretion, including where AEVUM has reason to believe that the intended use of the product is inconsistent with these Terms.
3. Product Information and Specifications
AEVUM endeavors to provide accurate product information, including purity specifications, analytical documentation, and reference literature. However, AEVUM does not warrant that all product information is complete, current, or error-free. Customers are responsible for independently verifying the suitability of any AEVUM product for their intended research application.
Certificates of Analysis (COAs) are provided for each lot. The COA reflects analytical testing performed on a representative sample of the lot at the time of testing. Customers should perform their own analytical verification as appropriate for their research application.
4. Orders, Pricing, and Payment
All orders are subject to acceptance by AEVUM. AEVUM reserves the right to refuse, cancel, or limit any order at its sole discretion, including for reasons relating to product availability, errors in pricing or product information, suspected fraud, suspected misuse, or non-compliance with these Terms.
Prices are displayed in United States Dollars and are exclusive of any applicable taxes, duties, or shipping charges. Prices are subject to change without notice. The price applicable to an order is the price in effect at the time the order is accepted by AEVUM.
AEVUM accepts payment by bank wire transfer and ACH transfer. AEVUM does not accept credit cards, debit cards, or payment through consumer payment processors. Orders are processed only after payment is received in full and reconciled to the order. Wire and ACH instructions will be provided at checkout.
If payment is not received within seven (7) business days of order placement, the order may be cancelled without further notice.
5. Shipping and Title
AEVUM ships within the United States only. AEVUM does not ship internationally, and does not ship to any jurisdiction within the United States where the sale or possession of AEVUM products is restricted by state or local law.
Risk of loss and title to products pass to the Customer upon delivery to the carrier at AEVUM’s facility. The Customer is responsible for any loss, damage, or delay occurring in transit, subject to any applicable carrier insurance.
Customers are responsible for ensuring that someone is available to receive the shipment and that the delivery address is correct. AEVUM is not responsible for shipments delayed, lost, or misdelivered due to incorrect address information provided by the Customer.
6. Returns and Refunds
Due to the nature of the products and the inability to verify post-delivery handling, AEVUM does not accept returns. All sales are final.
AEVUM will replace or refund a product, at its sole discretion, only in the following circumstances:
- The product as shipped does not match the product ordered;
- The product fails the analytical specifications described on its COA, as verified by independent testing performed by a reputable third-party analytical laboratory and reported to AEVUM within fourteen (14) days of delivery;
- The product was damaged in transit and the damage was reported to AEVUM with photographic documentation within seventy-two (72) hours of delivery.
Claims under this section must be submitted to AEVUM in writing with supporting documentation, including order number, lot number, and any relevant analytical results. AEVUM’s sole obligation, and the Customer’s sole remedy, is replacement of the affected product or refund of the purchase price, at AEVUM’s election.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEVUM’S TOTAL CUMULATIVE LIABILITY TO THE CUSTOMER FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT SUPPLIED BY AEVUM SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO AEVUM FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL AEVUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT SUPPLIED BY EVUM, EVEN IF AEVUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE CUSTOMER EXPRESSLY WAIVES ANY AND ALL CLAIMS AGAINST AEVUM ARISING FROM OR RELATING TO THE USE OF ANY AEVUM PRODUCT IN A MANNER INCONSISTENT WITH THESE TERMS, INCLUDING WITHOUT LIMITATION ANY USE IN OR ON A HUMAN OR ANIMAL SUBJECT.
8. Disclaimer of Warranties
ALL PRODUCTS ARE SUPPLIED “AS IS” AND “AS AVAILABLE.” AEVUM EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
AEVUM MAKES NO REPRESENTATION OR WARRANTY THAT ANY PRODUCT IS SAFE OR EFFECTIVE FOR ANY PARTICULAR USE, OR THAT ANY PRODUCT IS SUITABLE FOR ANY PARTICULAR RESEARCH APPLICATION. THE CUSTOMER IS SOLELY RESPONSIBLE FOR DETERMINING THE SUITABILITY OF ANY PRODUCT FOR ITS INTENDED USE.
9. Customer Indemnification
The Customer agrees to defend, indemnify, and hold harmless AEVUM, its members, managers, officers, employees, contractors, and agents from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Any breach by the Customer of these Terms;
- Any use or misuse of AEVUM products by the Customer or any third party to whom the Customer has transferred such products;
- Any injury, illness, death, or property damage caused or alleged to have been caused by AEVUM products following delivery to the Customer;
- Any violation by the Customer of any applicable law, regulation, or third-party right;
- Any false or misleading representation made by the Customer to AEVUM.
10. Intellectual Property
All content on the Site, including the AEVUM name, logos, product names, product descriptions, photographs, written content, and the overall design and structure of the Site, is the property of AEVUM or its licensors and is protected by United States and international intellectual property laws. The Customer is granted no license or right to use any AEVUM intellectual property except as necessary to view the Site and place orders in the ordinary course.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Cheyenne, Wyoming, before a single arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the arbitration award may be entered in any court having jurisdiction.
THE CUSTOMER AND AEVUM EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING AGAINST THE OTHER. Disputes shall be resolved on an individual basis only.
12. Force Majeure
AEVUM shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond EVUM’s reasonable control, including without limitation acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, supply chain disruption, carrier failure, labor disputes, or failure of utilities or communications systems.
13. Modification of Terms
AEVUM reserves the right to modify these Terms at any time. Modifications will be posted on the Site and will take effect upon posting. Continued use of the Site or placement of orders following modification constitutes acceptance of the modified Terms. The Customer is responsible for reviewing these Terms periodically.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties.
15. Entire Agreement
These Terms, together with any order acknowledgement, the Privacy Policy, and any other policies referenced herein, constitute the entire agreement between AEVUM and the Customer with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
